1. Parties and acceptance

This agreement is between NET SEO MEDIA SRL (netSEO Ads) and the individual or legal entity that creates an account or uses the platform at netseoads.com. By registering or using the service, you confirm you have read and accept these terms. If you act for a company, you warrant you have authority to bind it.

2. What the service is

netSEO Ads is a software platform (SaaS) for monitoring and optimising paid campaigns (PPC) on Google Ads and Meta Ads. It offers data sync, analysis, AI-assisted recommendations, and human approval before changes are applied to connected accounts. We are not an advertising agency and do not guarantee specific ROI, CPA, or conversion volumes.

3. Account, subscription, and payment

Your account is personal or belongs to your organisation. Plans, pricing, and trial terms are those shown at signup. We may change future pricing with prior notice. Non-payment may lead to suspension. Billing complies with applicable Romanian and EU law.

4. Connecting ad accounts

You must have the rights to connect the Google Ads and Meta Ads accounts you link. You must comply with Google Ads Terms, Meta policies, and any restrictions those platforms impose. You technically authorise us to read data and, after your explicit approval, apply API-permitted changes.

5. AI recommendations and your decision

Platform recommendations are advisory. You review and approve or reject each action. netSEO Ads does not replace professional PPC judgement and is not liable for decisions you make after approval. In recommendation-only (preview) mode, no live change is sent without confirmation.

6. Acceptable use

You must not: access systems without authorisation; interfere with security; use the service unlawfully or in breach of Google/Meta policies; abuse scraping; share credentials outside your authorised team; reverse engineer code except where law permits.

7. Intellectual property and data

The platform, code, design, and netSEO Ads brand belong to us. Your campaign and ad account data remain yours. You grant us a limited licence to process it solely to provide the service.

8. Availability and support

We use reasonable efforts to keep the platform available but do not guarantee uninterrupted uptime. Planned maintenance may be announced in advance. Support is provided per your plan via contact@netseoads.com.

9. Limitation of liability

To the extent permitted by law, we are not liable for indirect loss, lost profit, or damage arising from Google/Meta outages, campaign decisions, or use of AI recommendations. Our total liability is capped at fees paid by you in the 12 months before the event.

10. Termination

You may close your account anytime in settings or by contacting contact@netseoads.com. We may suspend or terminate for material breach or non-payment. After termination, data access may be limited after a reasonable export window.

11. Governing law

Romanian law applies. Courts in Bucharest have jurisdiction, subject to mandatory consumer rights in your EU country of residence where applicable.
